By accessing, using, or engaging with Nue Web and its services, you acknowledge that you have read, understood, and agreed to comply with these Terms of Service. These terms apply to all users, including individuals, businesses, and organizations that utilize our platform, products, or solutions.
1.1 Eligibility
To use Nue Web, you must:
Be at least 18 years old or meet the legal age requirements in your jurisdiction.
Have the legal authority to agree to these terms on behalf of yourself or your organization.
1.2 Binding Agreement
By continuing to use our services, you acknowledge that these Terms of Service constitute a legally binding agreement between Nue Web and yourself. If you do not agree to these terms, you must refrain from using our services immediately.
1.3 Service Availability
While we strive to provide uninterrupted access to Nue Web, we do not guarantee that services will always be available, error-free, or without disruptions. We may suspend or terminate service access for maintenance, security updates, or unforeseen circumstances.
2. Services Provided
Nue Web specializes in digital project management, offering a comprehensive suite of services designed to enhance online presence, branding, and user engagement. Our services include:
Website Development: Custom-built websites designed for functionality, responsiveness, and brand alignment.
Business Automation: Streamlining workflows with automated email sequences, SMS communication, booking systems, and missed call text-back functionality—helping businesses operate efficiently and ensuring no customer inquiry goes unanswered.
AI-Powered Customer Experience: Leveraging artificial intelligence for chatbots, customer interactions, and personalized engagement to elevate user satisfaction.
Payment Processing: Seamless transaction integration to ensure secure, efficient payment handling for businesses and customers.
Unified Messaging Hub: A centralized platform for managing SMS, social media interactions, and other communication channels—keeping all conversations in one location for streamlined engagement.
Organic Review Generation: Helping businesses gather authentic customer reviews to build credibility, enhance reputation, and strengthen brand trust online.

3. User Responsibilities
By using Nue Web, users agree to uphold the following responsibilities to ensure a safe, efficient, and respectful environment for all parties involved.
3.1 Accurate Information
Users must provide truthful, complete, and up-to-date information when registering, making inquiries, or engaging with our services. Misrepresentation or falsification of information may result in suspension or termination of services.
3.2 Lawful Use
Users are required to use Nue Web services in compliance with all applicable laws, regulations, and ethical standards. Activities such as fraud, unauthorized access, or any form of illegal conduct are strictly prohibited.
3.3 Respectful Conduct
Users must interact with Nue Web staff, systems, and other users in a respectful and professional manner. Harassment, abusive language, or disruptive behaviour will not be tolerated.
3.4 Security and Privacy
Users are responsible for maintaining the confidentiality of their account credentials and ensuring that their use of Nue Web does not compromise the security or privacy of others. Any suspected breaches must be reported immediately.
3.5 Prohibited Activities
Users must refrain from:
Attempting to hack, disrupt, or interfere with Nue Web systems or services.
Engaging in data mining, scraping, or unauthorized data collection.
Uploading or sharing malicious software, viruses, or harmful content.
3.6 Compliance with Payment Terms
Users must adhere to payment schedules, methods, and policies outlined by Nue Web. Failure to comply may result in service suspension or additional fees.
3.7 Responsibility for Content
Users are solely responsible for any content they upload, share, or distribute through Nue Web services. This includes ensuring that such content does not infringe on intellectual property rights, violate privacy laws, or contain harmful material.
3.8 Reporting Issues
Users are encouraged to report any technical issues, service disruptions, or violations of these terms promptly to Nue Web support for resolution.
4. Payments & Refunds
4.1 Payment Processing
All payments made to Nue Web are securely processed through Stripe, ensuring reliability and security. By engaging with our services, users agree to the payment structure outlined below.
4.2 Service Packages & Subscription
New users must select one of the following service packages when subscribing to Nue Web: Essentials (£500
setup / £97 per month), Pro (£1,000 setup / £197 per month), or Ultimate (£1,500 setup / £297 per month). The
setup fee is divided into two instalments: the first instalment is due at the start of service activation, and the
second instalment is due upon product handover and final deployment. Following the setup fee, your monthly
subscription begins as soon as your setup is complete and you are onboarded to the platform.
4.3 Subscription Terms & Billing
Monthly subscription payments are automatically processed through Stripe
Failure to complete a payment may result in temporary suspension of services.
Users must ensure billing details remain accurate and up to date to avoid service disruptions.
4.4 Usage-Based Charges
Certain features — including SMS messaging, outbound and inbound calls, and email delivery — are not
included in your monthly subscription and are charged based on actual usage. To access these features, users
must maintain a sufficient balance in their Nue Web prepaid wallet. If the wallet balance reaches zero,
usage-based services will be suspended until funds are added. Usage metrics and associated fees are available
in your account dashboard. Nue Web may revise usage rates periodically; continued use after such changes
indicates acceptance.
4.5 Refunds
Setup Fees: Setup fees are non-refundable once service activation has commenced.
Monthly Subscription: Refunds are not provided for partially used subscription periods. However, users can cancel at any time to avoid future charges
Exceptional Circumstances: Refund requests will be considered only in cases of service failure or technical mis delivery on the part of Nue Web.
4.6 Right to update pricing
Nue Web reserves the right to update pricing and service packages. Any changes will be communicated in advance, with existing users maintaining their current rates for the duration of their active subscription.
4.7 Upgrading Tiers
If you choose to upgrade your plan, you’ll only pay the difference in setup fees between your current and new tier. Monthly subscription pricing will be updated immediately.
Example: If you move from Essential plan(£500 setup) to Pro Plan (£1,000 setup), your upgrade fee is just £500.
5. Intellectual Property
5.1 Ownership & Rights
All content, designs, branding elements, and digital assets created by Nue Web, including but not limited to websites, automation systems, AI solutions, and software, are owned by Nue Web or its licensors. Users acknowledge that all intellectual property remains under the ownership of Nue Web, unless explicitly transferred through a separate written agreement.
5.2 Use of Provided Services & Content
Users are granted a limited, non-exclusive, non-transferable license to use Nue Web's services as outlined in their selected package. This license does not grant ownership of any software, tools, or proprietary materials. Users may not:
Copy, distribute, or repurpose Nue Web's intellectual property for commercial or unauthorized purposes
Claim any proprietary rights over Nue Web's branding, designs, or digital assets
Reverse engineer, modify, or decompile software or AI solutions provided by Nue Web.
5.3 User-Generated Content
If users provide content—such as logos, branding materials, or proprietary business data—they retain ownership of their own intellectual property. However, by submitting content to Nue Web, users grant Nue Web a non-exclusive, royalty-free license to use, modify, and integrate such materials into the services provided.
5.4 Copyright & Trademark Protection
All trademarks, service marks, and copyrighted materials owned by Nue Web are protected under intellectual property laws. Unauthorized use of trademarks, branding, and proprietary tools may result in legal action.
5.5 Violation of Intellectual Property Rights
If a user or third party is found violating Nue Web's intellectual property rights—such as unauthorized use, copying, or distribution of proprietary assets—Nue Web reserves the right to take legal action, revoke access to services, and seek damages where applicable.
5.6 Intellectual Property Disputes
Users or third parties who believe their intellectual property has been used in violation of rights may submit a formal complaint to [email protected]. Nue Web will review disputes and take appropriate action, including removal of infringing materials or adjustments to service content.
6. Privacy Policy
We collect and process user data in accordance with our Privacy Policy. By using Nue Web, you consent to such practices.
7. Limitation of Liability
7.1 General Disclaimer
By using Nue Web, you acknowledge that all services, features, and functionalities are provided on an "as-is" and "as-available" basis. While we strive to ensure uninterrupted access and high-quality service delivery, we do not guarantee that the platform will be free from errors, defects, delays, or interruptions.
7.2 Scope of Liability
To the fullest extent permitted by law, Nue Web, its owners, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
Loss of profits, revenue, or business opportunities.
Data loss, corruption, or unauthorized access due to external breaches.
Downtime, service interruptions, or technical failures.
Errors or omissions in content, automation, or AI-generated outputs.
Third-party integrations, payment processing failures, or software compatibility issues.
7.3 Third-Party Services & Integrations
Nue Web may integrate third-party platforms (such as Stripe for payments or messaging services). We are not responsible for any failures, breaches, inaccuracies, or liabilities caused by these third-party providers. Users must review and comply with the terms of those respective services.
7.4 Security & Data Handling
While we employ industry-standard security protocols to protect user data, we do not guarantee absolute immunity from cyberattacks, unauthorized access, or technical vulnerabilities. Users acknowledge that data transmission over the internet carries inherent risks.
7.5 User Responsibility
Users accept full responsibility for their own actions while using Nue Web, including compliance with legal regulations, ethical standards, and appropriate business practices. Nue Web shall not be liable for any consequences arising from user misuse, misinterpretation, or failure to adhere to these terms.
7.6 Maximum Liability Cap
In the event of a claim, Nue Web's total liability shall not exceed the total amount paid by the user for services in the last three months leading up to the claim.
8. Termination of Services
8.1 Termination by the User
Users wishing to cancel their subscription must provide a minimum of 7 days' written notice before their next
billing date. Notice must be submitted via email to [email protected]. Cancellations received with less
than 7 days' notice may result in one further billing cycle being charged. Users may cancel at any time after the
notice period to avoid future charges.
8.2 Termination by Nue Web
Nue Web reserves the right to suspend or terminate services if a user violates these Terms of Service, engages in prohibited activities, or fails to meet payment obligations. Termination may occur under the following circumstances:
Breach of Terms: Any violation of user responsibilities, including fraudulent actions, unauthorized access, or misuse of services.
Non-Payment: If a user fails to complete required payments or subscription fees, access to services may be restricted or revoked.
Legal & Compliance Issues: If required by law, regulation, or governmental order, Nue Web may suspend or terminate services without prior notice.
Misuse of Intellectual Property: Unauthorized replication, distribution, or alteration of Nue Web’s digital assets, branding, or proprietary systems.
Security Risks: If a user’s actions pose a security threat, data privacy risk, or technical vulnerability to Nue Web or its users.
8.3 Effect of Termination
Once a service is terminated, the following conditions apply:
Users lose access to all tools, features, and stored data.
Any remaining outstanding payments must be settled before termination is finalized.
Nue Web is not responsible for retaining user data beyond the termination date. Users should back up relevant materials before cancellation.
8.4 Reinstatement & Appeals
Users whose accounts have been terminated may request reinstatement by contacting Nue Web customer support. Reinstatement is subject to review and approval at Nue Web’s sole discretion.
8.5 Data Retention After Termination
Following termination, Nue Web will retain client account data for a period of 90 days. After this period, all
associated data will be permanently deleted. Users are solely responsible for exporting or backing up their data
before cancellation. Nue Web accepts no liability for data loss after the 90-day retention window has elapsed.
Data is processed and retained in accordance with UK GDPR.
8.6 Reinstatement & Appeals
Users whose accounts have been terminated may request reinstatement by contacting Nue Web support.
Reinstatement is subject to review and approval at Nue Web's sole discretion.
9. Governing Law
These Terms of Service, including the Limitation of Liability, are governed by UK law. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to Terms
10.1 Authority to Modify Terms
Nue Web reserves the right to update, modify, or revise these Terms of Service at any time to reflect changes in legal requirements, business operations, technological advancements, or other relevant factors. Any modifications will be made at our sole discretion.
10.2 Notice of Changes
Whenever significant updates occur, Nue Web will provide reasonable notice by posting the revised terms on
our official website, sending email notifications to registered users, or displaying alerts within the platform before
changes take effect
10.3 Effective Date of Updates
Changes to these terms take effect immediately upon publication unless stated otherwise. Users who continue using Nue Web after the revised terms have been posted automatically agree to the updated conditions.
10.4 User Responsibility
It is the user's responsibility to review the Terms of Service periodically and to discontinue use if they do not
agree with any modifications.
10.5 Regulatory Compliance
Changes to these terms may be necessary to comply with UK legal requirements, consumer protection laws, or
data privacy regulations including UK GDPR. In such cases, updates will be mandatory for continued service
access.
